Terms of Service

These terms are the agreement between you and SuperGig, the operator of supergig.com, for your use of our freelance marketplace. By creating an account or using the service you agree to them. They are written in plain English on purpose: if a sentence here is ambiguous, we intend the reading a reasonable person would expect.

1. The service

SuperGig matches clients with vetted independent freelancers across five disciplines: development, design, writing, marketing and video editing. You send us a project brief, we hand-match a shortlist from our screened roster, and the project runs through milestone-based escrow payments on the platform. SuperGig provides the marketplace, vetting, matching, escrow and support. The work itself is performed by the freelancer you select.

2. Accounts and eligibility

You must be at least 18 and able to enter a binding contract. Client accounts are for business use: you represent that you are hiring for a business purpose, whether as a company, a team or a sole founder. You are responsible for keeping your account credentials confidential, for the accuracy of the information you provide, and for activity that happens under your account. Tell us immediately at app@supergig.com if you suspect unauthorized use.

3. Projects and milestone escrow

Projects on SuperGig are structured as one or more milestones with a written scope and price. Escrow works as follows:

• Funding. The client funds a milestone in full before work on it begins. Funded amounts are held by SuperGig and are not available to either party while held.
• Approval and release. When the freelancer submits the milestone, the client reviews it against the written scope and approves it, requests changes, or opens a dispute. Approval releases the funds to the freelancer. Release is final.
• Disputes. If the parties disagree, funds stay held and a SuperGig reviewer resolves the dispute within 3 business days, by full release, partial release, or return of funds to the client. That decision is binding on both parties for the disputed milestone.
• Rematch. If a match is not right, clients receive a free rematch: a new shortlist within 48 hours at no additional platform charge.

Paying or soliciting payment for platform-matched work outside SuperGig escrow (fee circumvention) is a material breach of these terms.

4. Fees

All fees are in US dollars and are charged to the client. Freelancers keep 100% of their quoted rate.

• Marketplace: a 10% project fee on each funded milestone, with no monthly charge. You pay per project.
• Business: $349 per month plus a 5% project fee, including priority 24-hour matching and team features.
• Enterprise: custom pricing under a separate agreement.

Fees are shown before you fund a milestone and do not change retroactively. Business subscriptions renew monthly until cancelled; cancellation takes effect at the end of the paid period. Released milestone payments and earned fees are non-refundable except where a dispute decision or the law says otherwise.

5. Freelancers are independent contractors

Freelancers on SuperGig are independent professionals, not employees, agents or partners of SuperGig or of clients. Nothing in these terms or in any project creates an employment relationship, and neither clients nor SuperGig direct a freelancer's working hours, methods or tools beyond the agreed scope. Freelancers are responsible for their own taxes, equipment and insurance. Enterprise clients may add contractor-compliance cover through our AOR/EOR partners under a separate agreement.

6. Acceptable use

Use the platform honestly. You agree not to:

• Post briefs for unlawful work, or work that infringes someone else's rights.
• Circumvent escrow or platform fees, or solicit off-platform payment for matched work.
• Harass, threaten or discriminate against freelancers, clients or staff.
• Misrepresent your identity or business, submit false ratings, or scrape the platform.
• Interfere with the security or operation of the service.

We may remove content, pause matching or suspend accounts that break these rules.

7. Intellectual property

Ownership of work product transfers to the client when the corresponding escrow payment is released, and until then it remains the freelancer's. On release, the freelancer assigns to the client all rights in the deliverables for that milestone, keeping only their pre-existing tools and generic know-how, which are licensed to the client to the extent they are embedded in the deliverables. The SuperGig name, site, design and software remain ours; these terms grant you no rights in them beyond ordinary use of the service.

8. Confidentiality

Clients and freelancers each agree to keep the other's non-public information, briefs, code, business plans, rates and materials, confidential, to use it only for the project, and to return or delete it on request when the project ends. This obligation survives the end of a project. Enterprise clients may replace this clause with their own NDA.

9. Disclaimers

We vet every freelancer through a 4-stage screen and stand behind the process with escrow and the rematch guarantee. Still, the service is provided "as is": we do not warrant that any freelancer, deliverable or match will meet your requirements, or that the platform will be uninterrupted or error-free. Freelancers deliver the work; SuperGig is not a party to the client-freelancer service contract except as the escrow and dispute mechanism described in section 3.

10. Limitation of liability

To the fullest extent the law allows, SuperGig is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim arising from the service is capped at the greater of the fees you paid us in the 12 months before the claim and $1,000. Nothing in this section limits liability that cannot be limited by law, including for fraud or willful misconduct.

11. Termination

You can close your account at any time by emailing app@supergig.com. We can suspend or terminate accounts that breach these terms, create legal risk, or abuse the platform or its people. On termination, funded milestones are wound down through the normal approval or dispute process: escrowed money is never forfeited to SuperGig because an account closed. Sections 7, 8, 10 and 12 survive termination.

12. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and disputes that cannot be resolved informally will be brought in the state or federal courts located in Delaware. Before filing anything, email us: most issues are resolved by a person within days.

13. Changes to these terms

We may update these terms as the service evolves. For material changes we will update the effective date above and email account holders at least 14 days before the change takes effect. Continued use after the effective date means the updated terms apply. If you do not agree, close your account before they take effect and any funded milestones will be wound down as described in section 11.
